Harvest Natural Resources, Inc. was incorporated in 1989 under the Delaware law. It is an independent energy company engaged in the acquisition, exploration, development, production and disposition of oil and natural gas properties. The Company's focus is on acquiring exploration, development and producing properties in geological basins with proven active hydrocarbon systems. Currently, its only producing asset is in Venezuela. HNR Finance B.V. (HNR Finance) has a 40 percent ownership interest in Petrodelta. As it indirectly owns 80 percent of HNR Finance, it indirectly owns a net 32 percent interest in Petrodelta, and its partner, Oil & Gas Technology Consultants (Netherlands) Coperatie U.A. (OGTC), a controlled affiliate of Venezolana de Inversiones y Construcciones Clerico, C.A. (Vinccler), indirectly owns the remaining eight percent interest. Corporacin Venezolana del Petroleo S.A. (CVP) owns the remaining 60 percent of Petrodelta. Petrodelta is governed by its own board of directors, charter and bylaws. It encounters substantial competition from major, national and independent oil and natural gas companies in acquiring properties and leases for the exploration and development of crude oil and natural gas. Various federal, state, local and international laws and regulations relating to the discharge of materials into the environment, the disposal of oil and natural gas wastes, or otherwise relating to the protection of the environment might affect its operations and costs.
