HCP, Inc. a self-administered, Maryland real estate investment trust, was organized in 1985. It invests mainly in real estate serving the healthcare industry in the United States. The Company acquires, develops leases, manages and disposes of healthcare real estate, and provides financing to healthcare providers. Its portfolio is comprised of investments in the following five healthcare segments: senior housing, life science, medical office, hospital and skilled nursing. It makes investments within its healthcare segments using the following five investment products: properties under lease, debt investments, developments and redevelopments, investment management and DownREITs. The Company has interests in 314 senior housing facilities, including 21 facilities owned by its Investment Management Platform. Senior housing facilities include independent living facilities, assisted living facilities and continuing care retirement communities, which cater to different segments of the elderly population based upon their needs. Services provided by the company's operators or tenants in these facilities are mainly paid for by the residents directly or through private insurance and are less reliant on government reimbursement programs such as Medicaid and Medicare. The Company has interests in 108 life science properties, including four facilities owned by its Investment Management Platform. These properties contain laboratory and office space mainly for biotechnology and pharmaceutical companies, scientific research institutions, government agencies and other organizations involved in the life science industry. The Company has interests in 254 medical office buildings, including 66 facilities owned by its Investment Management Platform. These facilities typically contain physicians' offices and examination rooms, and might also include pharmacies, hospital ancillary service space and outpatient services such as diagnostic centers, rehabilitation clinics and day-surgery operating rooms. The Company has interests in 21 hospitals, including four facilities owned by its Investment Management Platform. Services provided by the Company's operators and tenants in these facilities are paid for by private sources, third-party payors, or through the Medicare and Medicaid programs. The Company has interests in 313 skilled nursing facilities. Skilled nursing facilities offer restorative, rehabilitative and custodial nursing care for people not requiring the sophisticated treatment available at hospitals. The Company faces competition from other REITs, investment companies, private equity and hedge fund investors, sovereign funds, healthcare operators, lenders, developers and other institutional investors, some of whom might have greater resources and lower costs of capital. The Company's tenants and operators are typically subject to complex federal, state and local healthcare laws and regulations relating to fraud and abuse practices, government reimbursement, licensure and certificate of need and similar laws governing the operation of healthcare facilities.
