The Estee Lauder Companies Inc., founded in 1946 by Estee and Joseph Lauder, is a manufacturer and marketer of quality skin care, makeup, fragrance and hair care products. The Company's products are sold in over 130 countries and territories under the well-recognized brand names: Estee Lauder, Clinique, Aramis, Prescriptives, Origins, MzAzC, Bobbi Brown, La Mer, Aveda, Stila, Jo Malone, Bumble and bumble, Darphin, Rodan + Fields, American Beauty, Flirt!, Good Skin?, Donald Trump The Fragrance and Grassroots. The Company is also the global licensee for fragrances and cosmetics sold under the Tommy Hilfiger, Donna Karan and Michael Kors brand names. Each brand is distinctly positioned within the market for beauty products. The Company sells its products through limited distribution channels to complement the images associated with its brands. These channels, encompassing over 20,000 points of sale, consist of upscale department stores, specialty retailers, upscale perfumeries and pharmacies, prestige salons and spas and, to a lesser extent, freestanding company-owned stores and spas, its own and authorized retailer web sites, stores on cruise ships, television direct marketing, in-flight and duty-free shops. Beginning in fiscal 2005, the Company began to sell its newly developed brands, American Beauty, Flirt!, Good Skin and Grassroots at Kohl's Department Stores. The Company maintains a dedicated sales force which sells to its retail accounts in North America and in the major overseas markets, such as Western Europe and Japan. The Company has wholly-owned operations in over 30 countries, and controlling interests in joint ventures that operate in four other countries, through which it markets, sells and distributes its products. In certain countries, the Company sells its products through selected local distributors under contractual arrangements designed to protect the image and position of the brands. In addition, the Company sells certain products in select domestic and international military locations and over the Internet. The Company manufactures skin care, makeup, fragrance and hair care products in the United States, Belgium, Switzerland, the United Kingdom, Canada and France. The Company continues to streamline its manufacturing processes and identify sourcing opportunities to improve innovation, increase efficiencies and reduce costs. Its major manufacturing facilities operate as focus plants that manufacture one type of product e.g., lipsticks for all of the principal brands. The Company's plants are modern and its manufacturing processes are automated. It has established a global distribution network designed to meet the changing demands of its customers while maintaining service levels. It is continuously evaluating and restructuring this physical distribution network. Information systems support business processes including product development, marketing, sales, order processing, production, distribution and finance. The Company and its products are subject to regulation by the Food and Drug Administration and the Federal Trade Commission in the United States, as well as by various other Federal, state, local and international regulatory authorities and the regulatory authorities in the countries in which its products are produced or sold. The trademarks used in the Company's business include the brand names Estee Lauder, Clinique, Aramis, Prescriptives, Origins, Tommy Hilfiger, Donna Karan New York, DKNY, MzAzC, Bobbi Brown, La Mer, Aveda, Stila, Jo Malone, Bumble and bumble, Darphin, Michael Kors and Rodan + Fields and the names of many of the products sold under these brands.
