Edison International was incorporated on April 20, 1987, under the laws of the State of California for the purpose of becoming the parent holding company of SCE, a California public utility corporation and of nonutility companies. It is a holding company whose main operating subsidiaries are Southern California Edison Company 'SCE', Edison Mission Group Inc 'EMG', the holding company of Edison International�s nonutility power generation �EME� and financial services �Edison Capital� segments. Edison Mission Energy 'EME' is a holding company which operates mainly through its subsidiaries and affiliates which are engaged in the business of developing, acquiring, owning or leasing, operating and selling energy and capacity from independent power production facilities. EME also conducts hedging and energy trading activities in power markets open to competition through EMMT, its subsidiary. EME is an indirect subsidiary of Edison International. Southern California Edison Company 'SCE' was incorporated in 1909 under the laws of the State of California. SCE is a public utility mainly engaged in the business of supplying electric energy to a 50,000-square-mile area of central, coastal and southern California, excluding the City of Los Angeles and certain other cities. This SCE service territory includes approximately 432 cities and communities and a population of more than 13 million people. Edison Mission Group Inc 'EMG' is a wholly owned subsidiary of Edison International. EMG is the holding company for its main wholly owned subsidiaries, EME and Edison Capital. EME is a holding company which operates mainly through its subsidiaries and affiliates which are engaged in the business of developing, acquiring, owning or leasing, operating and selling energy and capacity from independent power production facilities. EME also conducts hedging and energy trading activities in power markets open to competition through EMMT, its subsidiary. EME is an indirect subsidiary of Edison International. Edison International has three business segments for financial reporting purposes: an electric utility operation segment 'SCE', a nonutility power generation segment 'EME' and a financial services provider segment 'Edison Capital'. The Company and its subsidiaries are subject to environmental and other governmental laws and regulations.
